Neither party is liable for delay or non-performance caused by events beyond its reasonable control — natural disasters; acts of government; war, terrorism, or civil disturbance; epidemic or pandemic; cyber attack; utility failure; customs holds, embargoes, sanctions, or other trade-control actions; carrier delays; raw-material shortages; or labor disputes. Affected obligations are suspended while the event lasts.
These Terms are governed by the laws of the People's Republic of China, without regard to conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Any dispute arising out of or relating to these Terms or the Site will be resolved by binding arbitration before the Shanghai International Arbitration Center (SHIAC) in Shanghai, in English, by a single arbitrator. The award is final and binding, and judgment on it may be entered in any court of competent jurisdiction.
Either party may still seek injunctive or equitable relief in any competent court to protect its intellectual property or confidential information.
Where you and we have a signed commercial agreement (master supply, contract synthesis, private-label), the dispute-resolution clauses of that agreement override this section to the extent they conflict.
We may suspend or end your access to the Site at any time, with or without notice, including on suspected breach of these Terms or of the law. Provisions that by their nature should outlast access — intellectual property, the disclaimers and liability limits, indemnity, and governing law — survive termination.
If any provision is held invalid or unenforceable, the rest stays in full effect. These Terms, with our Privacy Policy and Cookies Policy and any signed commercial agreement between us, are the entire agreement between you and Cupratec regarding the Site and supersede earlier communications.
We may revise these Terms; the revised version takes effect on the effective date at the top of this page, and continued use after that date is acceptance. For material changes we will give reasonable advance notice on the Site.
